TERMS AND CONDITIONS

Acceptance of Terms: By using the Site, you agree to the terms of this Agreement and to any additional rules and guidelines that we post on the Site. We may make changes to this Agreement from time to time; we may notify you of such changes by any reasonable means, including by posting the revised version of this Agreement on the Site. You can determine when we last changed this Agreement by referring to the "LAST UPDATED" legend above. Your use of the Site following changes to this Agreement will constitute your acceptance of those changes; provided, however, any material change to this Agreement shall not apply retroactively to any claim or dispute between you and us in connection with this Agreement that arose prior to the "LAST UPDATED" date applicable to that version of this Agreement in which we included such material change. We may, at any time, modify or discontinue all or part of the Site; charge, modify or waive fees required to use the Site; or offer opportunities to some or all Site users.

Purchases and Products.

If you wish to purchase any products made available in connection with the Site ("Products/orders"), you may be required to visit a separate web site or other online service (an "E-Commerce Store") in order to make your purchase (each such purchase, a "Transaction"). Such E-Commerce Store may be operated by us, an Affiliate or a third party; the E-Commerce Store's own "terms of use" agreement should identify the operator of such store. Such E-Commerce Store's terms of use agreement (or similar legal document made available on such E-Commerce Store), and not this Agreement, shall govern any Transactions that occur via such E-Commerce Store. We have no responsibility or liability for Transactions that occur via any E-Commerce Store unless we operate such store and, if so, solely to the extent that we expressly agree to any such responsibility or liability in such store's terms of use agreement. References to Products on the Site do not imply our endorsement of those Products.

Payment

Non-refundable deposit is required on all products supplier (Jazzin World Corp.) issues to distributor/client/s and is subject to refund only with credit (except where specified) with our company products/services.

Rules for Promotions.

Any sweepstakes, contests, raffles or other promotions (collectively, "Promotions") made available through the Site may be governed by rules that are separate from this Agreement. If you participate in any Promotions, please review the applicable rules as well as our Privacy Policy. If the rules for a Promotion conflict with this Agreement, the Promotion rules will apply.
For advertisements, we hold the right to reject or request changes for any advertisements on Jazzin World Corp./Jazzinworldwide.com for any reason. By using the Website, you expressly release Jazzin World Corp./Jazzinworldwide.com from any and all liability arising from your use of any third-party website. Accordingly, we encourage you to be aware when you have left the Website and to read the terms and conditions and privacy policy of each other website that you visit.

Our Proprietary Rights.

We, our Affiliates and our respective licensors and suppliers own the information and materials made available through the Site. Such information and materials are protected by copyright, trademark, patent and/or other proprietary rights and laws. Except as expressly authorized in advance by us, you agree not to reproduce, modify, rent, lease, loan, sell, distribute or create derivative works based on, all or any part of the Site or any information or materials made available through the Site.

Website Access

Jazzin World Corp./Jazzinworldwide.com hereby grants you permission to use the Website, provided that: (i) your use of the Website is solely for your personal, noncommercial use; (ii) you will not copy, distribute or modify any part of the Website without Jazzin World Corp./Jazzinworldwide.com prior written authorization; (iii) you will not send unsolicited or unauthorized advertisements, spam, chain letters, etc., (iv) you will not transmit any Content which contains software viruses, or other harmful computer code, files or programs; (v) you will not disrupt servers or networks connected to the Website; and (vi) you comply with these Terms & Conditions. In order to access some features of the Website, you will have to create an account (where applicable). You may never use another's account without permission. When creating your account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure where. Jazzin World Corp./Jazzinworldwide.com will not be liable for your losses caused by any unauthorized use of your account. You agree not to use or launch any automated system, including without limitation, "robots," "spiders," and "offline readers," that accesses the Website in a manner that sends more request messages to the Jazzin World Corp./Jazzinworldwide.com servers in a given period of time than a human can reasonably produce in the same period by using a conventional on-line web browser. You agree not to collect or harvest any personally identifiable information, including account names or e-mail addresses, from the Website, nor to use the communication systems provided by the Website for any commercial solicitation purposes. You agree not to solicit, for commercial purposes, any users of the Website with respect to their User Submissions (as defined below). Jazzin World Corp./Jazzinworldwide.com has the right to terminate your access to the Website, in its sole discretion, immediately and with or without cause.

We, our Affiliates and/or our respective licensors or suppliers own the trade names, trademarks and service marks on the Site, including without limitation JAZZIN WORLD CORP., JAZZIN WORLD CORPORATION, JAZZIN WORLD, JAZZIN WORLD ENTERTAINMENT and any associated logos. All trademarks and service marks on the Site not owned by us or our Affiliates are the property of their respective owners. You may not use our trade names, trademarks and service marks in connection with any product or service that is not ours, or in any manner that is likely to cause confusion. Nothing contained on the Site should be construed as granting any license or right to use any trade names, trademarks or service marks without express prior written consent of the owner.

PLEASE NOTE THAT UNAUTHORIZED USE OF ANY SERVICE OR PRODUCT, INCLUDING, WITHOUT LIMITATION, ANY SOFTWARE USED BY THE SERVICES, MAY SUBJECT YOU TO CIVIL AND CRIMINAL PENALTIES, (INCLUDING, WITHOUT LIMITATION, POSSIBLE MONETARY DAMAGES), INCLUDING, WITHOUT LIMITATION, FOR COPYRIGHT INFRINGEMENT.

Third Party Applications.

The Site may include third party software applications and services (or links thereto) that are made available by our Providers ("Third Party Applications"). Because we do not control Third Party Applications, you agree that neither we nor our Affiliates, nor our respective Artists and Representatives, are responsible or liable for any Third Party Applications, including the performance, accuracy, integrity, quality, legality, usefulness, or safety of, or intellectual property rights relating to, Third Party Applications or their use. We have no obligation to monitor Third Party Applications, and we may remove or restrict access to any Third Party Applications (in whole or part) from the Site at any time. The availability of Third Party Applications on the Site does not imply our endorsement of, or our affiliation with any Provider of, such Third Party Applications. Further, your use of Third Party Applications may be governed by additional terms and conditions that are not set forth in this Agreement or our Privacy Policy (for example, terms and conditions that are made available by Providers themselves in connection with Third Party Applications). This Agreement does not create any legal relationship between you and Providers with respect to Third Party Applications, and nothing in this Agreement shall be deemed to be a representation or warranty by us, or any of our Affiliates, or our respective services, Representatives or Providers, with respect to any Third Party Application.

INDEMNIFICATION

Jazzin World Corp (Supplier) shall indemnify and hold Distributor/client(s) harmless from and against, any and all claims, demands, or actions, and damages of every kind: for injury to or death of any person or persons for alleged infringement of any patent, trademark, or copyright or violation of any trade secret or other proprietary rights by any of our products furnished hereunder for damage to or loss of property, arising out of or attributed, directly or indirectly, to the conduct, operations or performance of Distributor and arising out of a breach of contract of the foregoing warranty. B) Where as specialized interest is considered in you as our clients or interested or non interested parties, the owners assume no liability in loss, damage or claim made under non obligated service as a result of this site and Jazzin World Corporation, and its owner or staff or third parties. We attribute maximum respect and prestige in sustaining this policy and the terms below.

Jazzin World Corporation (supplier) shall indemnify and hold Jazzin World Corporation harmless from and against any and all claims, demands, or actions and any cost, liabilities, or losses arising out of any statements or representations made by our client/s, employees, or agents with respect to the products, except for statements that are direct quotations of the documentation and marketing materials provided by Supplier to clients for use in connection with the products.
